Body corporate documents, in one place.
A body corporate keeps its minutes, a complete set of its rules, and lists of its owners, trustees and tenants, and must let an owner inspect or copy them within 10 days of a written request (the rules within five). KuduDoc keeps it in one place: resolutions counted, the minute book, the current rules and sealed levy clearance certificates.
Week of 5 October 2026
A round robin closes, an owner is waiting for the rules, and Unit 7 is being sold.

Trustee resolutions, by round robin or at a meeting
The prescribed management rules let trustees decide without a meeting, by a notice sent to each trustee with the resolution’s text (rule 14(4)(b)). Each trustee shows agreement by signature before the closing date in the notice. Trustees decide by majority vote (rule 14(4)).
-
Write it once.
Start from the round-robin template or your own wording: the resolution’s full text, the reason, the attachments (the quotation, the contractor’s letter) and the closing date.
-
Send it to every trustee.
One notice goes to every trustee at once, each with their own link, by email. If your committee prefers an order, set it. Reminders go only to trustees who have not replied, before the closing date and outside quiet hours. More on signing order and reminders.
-
Count it against your rules.
Each trustee chooses Agree, Object or Abstain, and first says whether they have a personal interest in the matter: a trustee with one does not vote on it (rule 14(3)). KuduDoc counts the replies against the majority you set from your rules and shows the count and the result on the closing date.
Each trustee signs on their phone. KuduDoc signatures are ordinary electronic signatures under the Electronic Communications and Transactions Act (ECT Act), recognised for ordinary documents (s13(2)). Some documents still need ink or an advanced signature: see documents that still need ink or an advanced signature.
-
Interim resolutions, confirmed in writing.
When a trustee meeting has no quorum within 30 minutes, the trustees present adopt interim resolutions, which take effect only once confirmed at the next quorate meeting or by a written resolution signed by all the trustees (rule 13(3)–(4)). KuduDoc sends the confirmation to every trustee and marks it confirmed only when all of them have signed.
-
Filed in the minute book.
The signed resolution, each reply with its time, any declared interest and the count become one record, sealed and filed in the minute book. Resolutions taken at a meeting are recorded with that meeting’s minutes.

Your vote
The minute book
Minutes of every general and trustee meeting record the date, time and place, who was present and in what role, the text of every resolution and the result of every vote (rule 27(2)(a)). The trustees send them to everyone entitled to notice of the meeting within 7 days (rule 9(e)).
-
Minutes that ask for what the rules list.
The AGM minutes template has a field for each item. Proxies come from the proxy register, each vote’s numbers for and against are recorded (rule 20(8)), and the round robins decided since the last meeting are listed for noting.
-
Out within seven days.
When the meeting ends, the draft goes to everyone the scheme’s register says is entitled to notice of that meeting. KuduDoc shows the seventh day and reminds whoever took the minutes before it.
-
Approved, then sealed.
The next general meeting approves the minutes of the last (rule 17(6)(f)). Once approved, the minutes are sealed: see what a seal records. A later correction is a new version with its own fingerprint, kept beside the original.
-
One book, every year.
Search “roof” across ten years of minutes; open a resolution and see its meeting or round robin, the vote and the quotation it approved.

Special general meeting, Mon 28 SepDraft out by Mon 5 Oct, the seventh day
Sent Fri 2 OctGeneral meetings and the AGM
The AGM is held within four months after the financial year ends (rule 17(1)), on at least 14 days’ written notice with the agenda, the documents and a proxy form (rule 15). A meeting that takes a special or unanimous resolution needs 30 days’ written notice of it, unless your rules allow less (s6(2) of the Sectional Titles Schemes Management Act, the STSMA).
Charging points in the visitors’ parking
Counted by participation quota and by head. 75% needed on both.
- The date, watched. Enter the financial year end once. KuduDoc counts to the four-month limit and reminds the trustees in time to send the notice.
- The notice pack. The agenda follows the order of business the rules set (rule 17(6)); attach the budget, the financial statements and anything else to be approved, and the proxy form. KuduDoc sends it to each member’s service address, which is an email address wherever the member has chosen one (rule 4(5)), and to bondholders and the managing agent (rule 15(1)).
- Special and unanimous resolutions. For these, the Act asks for notice by hand or by registered post, and allows email in addition (STSMA s6(3)–(4)). KuduDoc prints the letters and the registered-post list, emails the same notice, and records how each member was told.
- Proxies, by the rules. Owners appoint a proxy on the prescribed form (Form C, Regulation 5(3)), and sign the proxy form on their phones. Appointments close in KuduDoc 48 hours before the meeting; after that, the proxy form is handed to the chair before or at the start (rule 20(5)). KuduDoc refuses a third appointment for the same person (STSMA s6(5)), and refuses the managing agent, its staff or the body corporate’s employees as proxies (rule 20(6)).
- Votes counted both ways. A special resolution needs 75% of the votes by value and by number (STSMA s1). KuduDoc counts by participation quota and by head at once (STSMA s6(6)–(7)).
- Decisions without a meeting. A special resolution can be agreed in writing by members holding 75% of all the votes, by value and by number, and a unanimous resolution by all the members (STSMA s1). A special general meeting is not needed when every member waives it and consents to the resolution in writing (rule 17(9)). KuduDoc sends the resolution to every member, collects the written consents and counts them. Where a unanimous resolution affects one member unfairly, KuduDoc tracks the seven days that member has to consent in writing (STSMA s6(8)).
The current rules, and every version before them
A scheme is run by its management rules and conduct rules (STSMA s10(2)). The body corporate lodges a change with the chief ombud within 10 days of the resolution (rule 27(1)(a)). The change takes effect only once the chief ombud certifies it (STSMA s10(5)(d)).
- One current set. The consolidated rules with an index, and the rules that confer exclusive use, vary how the participation quotas count for votes or levies, or add a financial or maintenance obligation flagged at the top (rule 27(1)(b)–(c)). One link, for anyone the scheme shares it with.
- Every version kept. Each amendment sits with its resolution, the notification on Form B and the chief ombud’s certificate. The “in force from” date is the certificate’s date; until then, the old rule shows as current and the new one as “Lodged, not yet in force”.
- To every new owner and occupier. Add an owner or a tenant to the register and KuduDoc sends them the current rules (STSMA s10(6)(c)); amended rules go to every owner (s10(6)(d)).
- Ask the rules. “Can I put up a satellite dish?” The answer cites the rule and the page it came from: ask the rules a question. AI can misread a document, so read the rule it cites. Ask’s credits come with the scheme’s Professional account.

Levy clearance certificates a conveyancer can check
When a unit is sold, the registrar of deeds registers the transfer only on a conveyancer’s certificate (Sectional Titles Act s15B(3)(a)(i)(aa)). It confirms the body corporate has certified that everything the seller owes it for the unit is paid or provided for. Two trustees or the managing agent sign that certificate, on the authority of a trustee resolution (rule 10(1)(a)).
-
The conveyancer asks.
The seller’s conveyancer requests the certificate from the scheme’s request link: the unit, the seller and the expected transfer date.
-
Issued under the scheme’s name.
From the levy clearance certificate template: the unit, the seller, what is paid up to which date, what is provided for, and the date the certificate runs to, as you set it. The figures come from your accounts. The standing trustee resolution that authorises issue is linked on the record, and two trustees or the managing agent sign the certificate on their phones. A person at KuduDoc reviews the scheme’s or managing agent’s account before it can seal certificates under its name: reviewed by a person at KuduDoc.
-
Sealed and sent.
The certificate is sealed and sent to the conveyancer. The record keeps who issued it, when, and to whom.
-
The conveyancer checks it.
The conveyancer can check a clearance certificate on the free public checker, with no account. A match reads: unchanged since sealing, sealed by the scheme’s account on the date shown. It is a fact about the file, not about whether the amounts on it are right. If the scheme withdraws a certificate, the checker says so, with the date.
A conveyancer can still ask for the certificate in another form: the ECT Act lets anyone set how they accept electronic documents (s4(2)(b)).

Getting documents from the body corporate: owners’ requests, answered on time
An owner, a registered bondholder, or someone either has authorised in writing may ask to inspect and copy the body corporate’s records (rule 27(4)). The body corporate has 10 days to comply, or five days for the rules (rule 27(5)).
-
Ask for it.
Each scheme has a request link, on its notices and in each owner’s welcome email. The owner, or their conveyancer, estate agent or buyer with the owner’s written authority (uploaded with the request), chooses what they need: the rules, minutes, the AGM pack, the budget and financial statements, the insurance schedule, a resolution. They sign in or create a free KuduDoc account from the link, and there is nothing to pay KuduDoc. The ECT Act treats a data message as writing when it can be read later (s12).
-
The clock starts.
KuduDoc records when the request arrived and shows the date the reply is due: 10 days, or five for the rules, counted as the Interpretation Act counts days (s4). Whoever is assigned is reminded before that date; the owner sees the same date.
-
Answer it.
Share the records with the requester, view-only or with download and an end date: share a copy with an end date. Or book an inspection. Where you charge for copies, note the fee on the request: the rules allow a fee for copies of records other than the rules, at no more than the reasonable cost of copying (rule 27(6)). Before a copy of the owners’ list goes out, you can prepare a redacted copy that removes ID and phone numbers: the text is removed, not covered.
-
Every request, on record.
Each request, its due date, the answer and when it went out, kept for the scheme. The trustees see what is due this week.

When the managing agent changes
When the body corporate ends a managing agent’s contract, the agent must hand over the scheme’s records in their possession or control within 10 days (rule 27(7)).
In KuduDoc the records belong to the scheme’s account, and the managing agent works in it. On handover the trustees remove the outgoing agent’s access and add the new agent: nothing moves. Download the handover index (every record, its date and its seal fingerprint) and send a tracked 10-day request for anything the outgoing agent kept elsewhere. For managing agents taking a scheme on: start from its records, not from boxes.

Records kept for as long as the rules ask
A body corporate keeps its books of account and financial records for six years after the transactions they record are completed (rule 26(3)). The ECT Act lets a record be kept electronically if it stays accessible and faithful to the original (s16).
- Six years, set once. A retention rule on the financial records: each record is kept until six years after the date you mark it completed, and KuduDoc asks before anything is deleted. More on how long to keep documents.
- Dates watched. Insurance policy expiry dates (the financial statements list each policy’s expiry date, rule 26(1)(c)(v)), the audited financial statements due within four months of the year end (rule 26(4)), and the AGM. Reminders go 90, 60, 30 and 7 days before, by default — or on the days you choose.
- The owners’ lists, kept close. The lists of owners, tenants and trustees carry ID and phone numbers (rule 27(2)(b)). In KuduDoc they open only for the trustees and the managing agent, and every opening is in the activity record. KuduDoc handles them for the scheme under a written operator agreement (s21 of the Protection of Personal Information Act). See how KuduDoc protects the records.
- Records, not accounts. KuduDoc keeps the records, not the accounts: levies are billed in your accounting system, and its statements come into KuduDoc as records.

Questions about body corporate documents
What documents must a body corporate keep?
Under the prescribed management rules, a body corporate keeps minutes of its general and trustee meetings and a complete, indexed set of its rules (rule 27). It keeps lists of its trustees, members, tenants, sections and registered bondholders (rule 27(2)). It keeps its books of account and financial records for six years after the transactions they record are completed (rule 26(3)). KuduDoc keeps all of it in the scheme’s own account, sealed and searchable.
How do I get documents from the body corporate?
Ask in writing. An owner, a registered bondholder, or someone an owner or bondholder has authorised in writing may inspect the records and get copies (rule 27(4)). The body corporate has 10 days to comply, or five days for the rules (rule 27(5)). It may charge for copies of records other than the rules, at no more than the reasonable cost of making them (rule 27(6)). Where the scheme runs on KuduDoc, you send the request from its request link and see the date it is due.
What is a round-robin trustee resolution?
A trustee resolution decided without a meeting. The prescribed management rules let trustees vote by a notice sent to each trustee with the text of the resolution (rule 14(4)(b)). Each trustee shows agreement by signature, and the signatures must reach the body corporate before the closing date in the notice. Trustees decide by majority vote (rule 14(4)). KuduDoc sends the notice, reminds whoever has not replied before the closing date, counts the replies and keeps the signed resolution with the minute book.
What is a levy clearance certificate?
The body corporate’s certificate that everything the seller owes it for the unit has been paid, or provided for to its satisfaction. The registrar of deeds registers a unit’s transfer only on a conveyancer’s certificate confirming it (Sectional Titles Act s15B(3)(a)(i)(aa)). Two trustees or the managing agent sign it, on the authority of a trustee resolution (rule 10(1)(a)). KuduDoc seals each certificate, and the conveyancer checks it free: unchanged since sealing, and which scheme’s account sealed it.
What must AGM minutes include?
The minutes of every general and trustee meeting record the date, time and place; the names and roles of the people present, with details of any proxies; the text of every resolution; and the result of every vote (rule 27(2)(a)). The trustees send them to everyone entitled to notice of the meeting within 7 days (rule 9(e)). KuduDoc’s AGM minutes template asks for each of these.
When must a body corporate hold its AGM?
Within four months after the end of each financial year (rule 17(1)), unless every member waives the meeting in writing and consents in writing to the motions it would decide (rule 17(2)). The notice goes out at least 14 days before, with the agenda, the documents to be considered and a proxy form (rule 15). A meeting that takes a special or unanimous resolution needs 30 days’ written notice of the proposed resolution, unless the rules allow shorter notice (STSMA s6(2)).
Where do I find the body corporate rules?
Ask the body corporate. It gives every new owner and occupier a copy of the rules, and any owner a copy on request (STSMA s10(6)), and answers a request for the rules within five days (rule 27(5)). Management rules change by unanimous resolution and conduct rules by special resolution (STSMA s10(2)). A change takes effect only once the chief ombud certifies it (STSMA s10(5)(d)). In KuduDoc, the scheme’s current rules are one link, with every earlier version beside them.
What happens to the records when the managing agent changes?
When the body corporate ends a managing agent’s contract, the agent must deliver the scheme’s records in their possession or control within 10 days (rule 27(7)). In KuduDoc, the records sit in the scheme’s own account, not the agent’s. The trustees remove the outgoing agent’s access, add the new agent, and download an index of everything handed over.
Can trustees sign a round-robin resolution electronically?
Yes. The prescribed management rules ask each trustee to show agreement by signature (rule 14(4)(b)). In KuduDoc, trustees sign on their phones, and KuduDoc signatures are ordinary electronic signatures under the ECT Act, recognised for ordinary documents (s13(2)).
